Web & Storefront Service Agreement

Between: Give Me Lemons ("the Agency") & / ("the Client," business name & contact)

1. Services Provided

The Agency builds & maintains a custom website & backend inventory tracking system for the Client's business, including:

• Custom-designed storefront site built to the Client's brand & products
• Backend inventory tracking system, set up & configured for the Client's use
• Ongoing hosting & basic maintenance for the life of the service term
• Organic marketing support through Pinterest (no paid ad spend included)

Revisions during the initial build are included up to rounds. Additional design changes after launch are billed separately & agreed to in writing before work begins.

2. Pricing & Payment

Initial build fee: $200, one-time, due before the real build begins. Covers the design & build of the site & backend inventory system.

Monthly service fee: $ / month, covering hosting, backend maintenance & continued Pinterest marketing support, starting from the site's launch date.

Payment is due on the same day each month. A missed payment past days may result in the site being taken offline until payment resumes, with no loss of ownership rights as described in Section 3.

3. Domain & Backend Ownership

• The domain may be registered & held under the Agency's account for ease of management during the service term.
• The Client always has the right to request full transfer of the domain to their own account, at any time, for any reason, at no charge & with no waiting period beyond standard domain-transfer processing time.
• If the Client cancels service or the agreement ends for any reason, the domain transfers to the Client automatically upon request. The Agency will not withhold, delay or condition this transfer.
• The Client receives their own login to the site's content & inventory system under their own branding. The Agency retains the infrastructure-level access needed to host & maintain the site, separate from the Client's day-to-day login.
• If the Client wants to move to a different host or provider entirely, the Agency will provide a full export of site content & product data within business days of the request.

4. Content & Ownership

• Product photos, copy & brand materials belong to the Client at all times.
• Any demo built before this agreement is signed (from social media screenshots, sample photos or placeholder copy) was a private working draft, never published & is discarded or replaced with the Client's own materials once the real build begins.
• The site design & code built for the Client become the Client's to keep upon full transfer under Section 3, minus any Agency-proprietary template structure reused across other client builds.

5. Term & Cancellation

This agreement runs month-to-month starting from the launch date. Either party may cancel with days' written notice. Cancellation does not forfeit anything owed to the Client under Section 3.
